Legal agreement for using Rumi Financial Observability Platform

Please read these Terms of Service carefully before using Rumi Financial Observability Platform. By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using Rumi Financial Observability Platform ("the Service," "Rumi," "we," "our"), you ("User," "you," "your") agree to comply with and be legally bound by these Terms of Service and our Privacy Policy.
If you do not agree to these terms, do not use the Service.
2. Service Description
Rumi is an AI-powered financial observability platform that provides:
Core Features:
24/7 Investment Monitoring: Continuous observation of your portfolio positions with custom trigger rules for SEC filings, earnings, and news volume
AI-Powered Email Insights: Intelligent email summaries with TLDR, key highlights, bull/bear analysis, and thesis alignment when your conditions are met
Real-Time Financial Data: Access to market data, earnings reports, and SEC filings from Financial Modeling Prep (FMP) and SEC EDGAR
Thesis Tracking: Document your investment thesis and automatically evaluate how market events affect your thesis points
Watchlist Management: Track your portfolio companies and set custom observation rules
AI Technology Disclosure
Our Service uses artificial intelligence models from third-party providers:
• OpenAI: Primary model for insight generation and thesis analysis
• OpenAI Embeddings: Used for semantic search and vectorization
• AI-generated content may contain errors, inaccuracies, or biases
• You are responsible for verifying all information before making financial decisions
3. User Accounts and Access
3.1 Account Creation
You must be at least 18 years old to create an account
You must provide accurate and complete information
You are responsible for maintaining the confidentiality of your password
You are responsible for all activities under your account
One person or legal entity per account
3.2 User Roles
Admin: Full access to all features, user management, and system settings
Analyst: Can create observations, manage watchlist, and view insights
Viewer: Read-only access to shared observations and insights
3.3 Account Termination
We may suspend or terminate your account if you:
Violate these Terms of Service
Engage in fraudulent or illegal activities
Abuse the Service or attempt to circumvent usage limits
Compromise the security or integrity of the Service
Fail to pay fees (if applicable)

Prohibited Uses

• Reselling or redistributing insights
• Reverse engineering the Service

Strictly Prohibited Activities
• Using the Service for illegal activities or market manipulation
• Attempting to gain unauthorized access to systems or data
• Uploading malicious code or conducting security attacks
• Impersonating other users or entities
• Violating securities laws or regulations

Service Availability
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee uninterrupted access, error-free operation, or that defects will be corrected. Scheduled maintenance and unexpected downtime may occur.
6. Intellectual Property

The Service software, code, and architecture
Rumi brand, logos, and trademarks
Report templates and document formats
User interface and design elements
6.2 Your Content
You retain ownership of:
Your observation rules and trigger configurations
Your watchlist and company selections
Your investment thesis points
By using the Service, you grant us a license to use your content for providing and improving the Service, including AI training (anonymized).
6.3 Third-Party Data
Financial data is provided by third parties and subject to their licenses:
• FMP: Market data subject to FMP terms
• SEC: Public filings (public domain)
• You may not redistribute this data outside the Service
7. Fees and Payment

Usage Limits
• AI API costs are monitored and rate-limited

• Rumi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data
• Our total liability shall not exceed the amount you paid for the Service in the past 12 months (or $100 if no fees were paid)
• We are not liable for losses resulting from investment decisions made using our Service
• We are not responsible for third-party data accuracy or AI model errors
9. Indemnification
You agree to indemnify and hold Rumi harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
Your use of the Service
Your violation of these Terms
Your violation of any laws or regulations
Investment decisions made using generated reports
Infringement of any third-party rights
10. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. Key points:

AI Processing: Your data may be processed by OpenAI for insight generation
Security: We use encryption, bcrypt password hashing, and secure authentication
Data Retention: Observations stored until deleted; email insights stored with observations
